End-User License Agreement governing your use of any Stupidface Labs audio plug-in or related software. Plain English on top, precise terms below. By installing or using the software, you agree to these terms.
"Stupidface Labs," "we," "us," and "our" refer to Stupidface Labs, a sole proprietorship registered in California, United States.
"Software" means any audio plug-in or related software product distributed by Stupidface Labs, including all installers, binaries, presets, sample content, and accompanying documentation, in any version or release.
"You" and "Licensee" mean the individual person or single legal entity that has purchased a license to use the Software.
"License" means the right granted to You under this Agreement to install and use the Software, subject to the terms herein.
"Seat" means a single authorized installation of the Software on one machine, identified by a unique device fingerprint.
Subject to Your continued compliance with this Agreement and payment of all applicable fees, Stupidface Labs grants You a non-exclusive, non-transferable, perpetual license to install and use the Software for Your own personal or commercial audio production work.
The license is granted for the version of the Software You purchased and includes all minor updates within the same major version (for example, a 1.0.0 license includes 1.0.1, 1.1.0, 1.5.0, but does not include 2.0.0).
You may use the Software in productions that You distribute or sell, including but not limited to commercial recordings, film and television scoring, video game audio, podcast production, and live performance. No additional licensing fees, royalties, or attributions are required for the use of audio output produced by the Software.
Each license includes two (2) activations by default, intended to allow simultaneous installation on a primary studio machine and a secondary mobile or backup machine, both used by the same Licensee.
You may deauthorize an activation at any time and reuse it on a different machine. The Software provides a "deauthorize-anywhere" mechanism for this purpose.
You may not share Your license, serial number, or activation file with any other person or entity. Each natural person who uses the Software must hold their own license.
If You exhaust Your activations and need additional seats, contact support@stupidfacelabs.com. We routinely grant courtesy reactivations for legitimate hardware failures, format wipes, and machine replacements.
You may not, and may not permit any third party to:
The Software is licensed, not sold. Stupidface Labs retains all right, title, and interest in and to the Software, including all intellectual-property rights, including but not limited to copyright, patent, trademark, and trade-secret rights.
This Agreement does not grant You any rights to use the Stupidface Labs name, logo, or any other trademarks except as necessary to refer to the Software in a non-misleading manner.
Any feedback, suggestions, or enhancement requests You provide to Stupidface Labs may be used by Stupidface Labs without restriction or compensation, and You hereby assign to Stupidface Labs all right, title, and interest in any such feedback.
Stupidface Labs may, at its sole discretion, provide updates, bug fixes, and feature additions to the Software. All such updates are delivered subject to this Agreement.
Stupidface Labs provides reasonable email-based support for the Software at support@stupidfacelabs.com. Support response times are not guaranteed but typically average less than 24 business hours.
Stupidface Labs is under no obligation to maintain compatibility with any specific host application, operating system, or hardware platform. We make reasonable efforts to support widely-used DAWs and macOS / Windows versions current at the time of release.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
STUPIDFACE LABS DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, BE COMPATIBLE WITH ANY PARTICULAR HOST OR HARDWARE, OR THAT ALL DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUPIDFACE LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
STUPIDFACE LABS' TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
This Agreement is effective until terminated. Your rights under this Agreement terminate automatically and without notice if You fail to comply with any term hereof.
Upon termination, You must cease all use of the Software, deauthorize all activations, and destroy all copies of the Software in Your possession.
The provisions concerning ownership, restrictions, warranty disclaimer, limitation of liability, and governing law survive any termination of this Agreement.
Stupidface Labs offers a 30-day, no-questions-asked refund on any plug-in purchased directly from us. To request a refund, email support@stupidfacelabs.com with Your order or ticket number within 30 days of purchase. Upon refund, You agree to deauthorize and uninstall the Software, and Your license terminates.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law provisions.
Any dispute arising out of or in connection with this Agreement shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and You consent to the personal jurisdiction of such courts.
